1.Who we are and what these terms cover
Brain (the “Service”) is operated by Synapse Solutions LLC (“Synapse Solutions LLC”, the “Company”, “we”, “us”), based in Irvine, California, United States. Brain is a product line and brand of Synapse Solutions LLC. These Terms of Service (the “Terms”) are a binding agreement between you and the Company and govern every use of the Service — the web application at brain.synapsesolutions.ltd, its APIs, and any related interfaces we provide.
By creating an account, connecting an agent, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” means that organization.
2.What the Service does
Brain is a live, shared workspace: a map of the things you run — people, tools, numbers, automations — that you, your team, and AI agents you authorize can view and edit together in real time. The Service records the history of changes (who changed what, when, and the recorded reasoning) and can send your content to AI model providers to answer questions, run agent sessions, and draft material at your direction.
3.Eligibility and accounts
You must be at least 18 years old to use the Service. You are responsible for your account credentials, for all activity under your account — including activity performed by AI agents using tokens you mint — and for keeping your registered email current. Notify us promptly at legal@synapsesolutions.ltd if you believe your account has been compromised.
4.Your content and your license to us
You own the content you and your authorized agents put into the Service — nodes, notes, decisions, documents, and imported data (“Content”). You grant the Company a worldwide, non-exclusive license to host, store, process, transmit, and display Content solely to operate, secure, and improve the Service, including sending relevant Content to the subprocessors described in the Privacy Policy (for example, AI model providers when you ask a question or run an agent). We do not sell your Content, and we do not use your Content to train our own or third parties’ foundation models.
You can export your workspace at any time from inside the product; exports are delivered in open formats (JSON and Markdown).
5.AI features — important disclaimers
Parts of the Service generate output with artificial intelligence, including answers about your workspace, agent-performed edits, and drafted documents. AI output can be wrong, incomplete, or out of date, even when it cites your own data. You are responsible for reviewing AI output before relying on it or acting on it. The Service records provenance and confidence signals to help that review; they are aids, not guarantees. Nothing produced by the Service is professional, legal, financial, medical, or hiring advice.
Where the Service ranks or scores people, agents, or contributions, those scores are derived from activity recorded in your workspace and any data you imported. You are responsible for how you use such scores, including compliance with any laws that apply to employment or credit decisions in your jurisdiction. The Service is not a consumer reporting agency and its output must not be used as a consumer report.
6.Acceptable use
You agree not to, and not to permit your users or agents to:
- break the law, or upload Content you have no right to use;
- probe, breach, or overload the Service, bypass rate limits or access controls, or access another customer’s workspace;
- upload malware or use the Service to distribute it;
- collect or process personal data of others in violation of applicable privacy law, or upload special-category data (health, biometric, government identifiers) the Service is not designed to hold;
- use the Service to harass, defame, or harm people, including via automated agents;
- resell or white-label the Service without a written agreement with us;
- use AI output from the Service to make fully automated decisions with legal or similarly significant effects on people.
We may suspend or terminate accounts that violate this section (see Section 10).
7.Agent access and API tokens
The Service lets you mint scoped tokens so external AI agents and tools can read and write your workspace. Tokens act with your authority: treat them like passwords, scope them minimally, and revoke tokens you no longer use. We may throttle, suspend, or revoke tokens that degrade the Service or violate these Terms. You are responsible for what your agents do with the access you give them.
8.Plans, billing, and refunds
The Service currently offers a free tier. Paid subscriptions and usage-based billing (for example, metered AI agent activity) may be offered; prices and inclusions will be shown at the point of purchase and billed through our payment processor, Stripe. Subscriptions renew automatically until cancelled; cancelling stops future renewals and your paid features continue to the end of the paid period. Unless required by law: monthly fees are not refunded once a billing period starts, a first-time monthly subscription may be refunded if you request it within 7 days of the first charge, and metered usage charges are non-refundable once incurred. Charges appear on statements under the Company’s Stripe descriptor.
9.Our intellectual property
The Service — its software, design, and branding — is owned by Synapse Solutions LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. Feedback you send us may be used without obligation to you.
10.Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or terminate access (with notice where practicable) for material breach of these Terms, for security reasons, to comply with law, or for extended non-payment. After account deletion or termination we delete or de-identify your Content within the retention window described in the Privacy Policy; you should export first.
11.Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
12.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (b) THE COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS CAPPED AT THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13.Indemnification
You will defend and indemnify the Company against third-party claims arising from your Content, your use of the Service in violation of these Terms, or the actions of agents operating under tokens you minted, except to the extent caused by our breach of these Terms.
14.Governing law and disputes
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-laws rules. Courts located in Orange County, California have exclusive jurisdiction, and each party consents to personal jurisdiction there. Either party may seek injunctive relief for IP or confidentiality violations in any competent court.
15.Changes to the Service or these Terms
We may update the Service and these Terms. For material changes we will give notice (email or in-product) at least 14 days before the change takes effect; continued use after the effective date is acceptance. The “Last updated” date above always reflects the current version.
